Terms of Service

Last updated: August 30, 2026

Version: 2026-08-15

These Terms of Service form a legal agreement between CodeChest Ltd and each person or organisation that accesses or uses EduPortal at eduportal.az.

CodeChest Ltd is a private limited company registered in England and Wales under company number 16912070, with its registered office at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.

Please read these Terms before creating an account, creating or joining an Academy, or purchasing a paid plan. If you do not agree to them, you must not use EduPortal.

1. Agreement and definitions

In these Terms, “EduPortal”, “we”, “us” and “our” mean CodeChest Ltd. “Academy” means an education business or organisation using EduPortal. “Business Customer” means the registered business that creates an Academy or purchases a plan. “Owner” means the person authorised to manage and pay for an Academy. “End User” means any administrator, manager, instructor, mentor, student or other person who uses EduPortal through an account.

These Terms apply to all End Users. The business, subscription, payment and indemnity provisions also apply to each Business Customer. Our Privacy Notice and any plan or checkout information shown before purchase form part of the agreement where relevant.

2. What EduPortal provides

EduPortal is a software-as-a-service platform that helps independent education businesses manage Academies, campuses, courses, classes, users, schedules, attendance, online lessons, videos, materials, assignments, submissions, grades, notifications and support requests.

EduPortal supplies the platform only. We do not provide teachers, operate an Academy’s courses, enrol students into an Academy, sell an Academy’s courses, award qualifications or guarantee any educational, examination, employment or commercial result.

An account by itself does not provide access to an Academy or its content. Access is provided only after the relevant Academy adds, invites or authorises the user.

3. Business Customers and authority

Paid plans may be purchased only for a legally established business or self-employed education provider. Students, instructors, mentors, managers and other End Users do not pay EduPortal for an Academy plan unless they are also the authorised Owner of that Business Customer.

An Owner who creates an Academy, selects a paid plan or supplies billing information confirms that the Business Customer is legally entitled to operate, that the information supplied is accurate, and that the Owner has authority to bind and act for that Business Customer. By creating an Academy, the Owner accepts these Terms and the separately presented Data Processing Agreement on the Business Customer’s behalf, including the Academy responsibilities in this section and section 16. The Data Processing Agreement forms part of the contract where CodeChest processes Academy Personal Data for the Business Customer.

Before inviting or adding a person, the Academy must have a valid lawful basis for using that person’s information, must provide any privacy information required by law, and must have any authority or parental or guardian involvement required for the person concerned. The Academy must invite only people it reasonably needs to administer and must not use EduPortal to obtain or disclose personal information without authority.

The Academy is responsible for deciding and documenting why each category of member information is necessary, keeping Academy records accurate, limiting access by role, setting appropriate retention periods and responding to valid access, correction, restriction, objection and deletion requests. It must delete or anonymise information when its lawful basis and retention need end, unless law requires continued retention.

The Academy must cooperate with CodeChest on verified data-protection requests, complaints and legal requirements. We may ask the Academy for an explanation or supporting information and may restrict access to, delete or anonymise Academy-managed information where applicable law, our contract or a valid instruction requires it, including where the Academy does not respond within a reasonable period or continued processing appears unlawful.

We may rely on this confirmation and are not required to independently verify a Business Customer’s registration, licences, professional status or the Owner’s internal authority. This does not prevent us from requesting evidence where reasonably necessary for security, fraud prevention, payment compliance or legal obligations.

4. Eligibility and users under 18

You must be at least 13 years old to create an EduPortal account. Users aged 13 to 17 may create and use their own account but may not create an Academy. We may restrict or close an account if we reasonably believe the minimum-age requirement has not been met.

Creating an account does not enrol a young user in a course and does not reveal Academy content. The Academy, not EduPortal, decides whom to invite. The Academy is responsible for its relationship with young users, including any permission, safeguarding process or additional privacy information required by applicable law for enrolment, teaching, communications, uploaded work, attendance and grading.

We write important explanations so younger users can understand them and encourage a young user to ask a trusted adult for help when needed. These Terms do not impose blanket parental consent on every 13-to-17-year-old account, and nothing in this section removes a duty that applicable law places directly on CodeChest Ltd or an Academy.

5. Accounts and Academy access

You must provide accurate, current information, keep your sign-in details confidential and promptly tell us at [email protected] if you suspect unauthorised access. You are responsible for activity performed through your account unless it results from our breach of duty.

Academy roles and permissions are managed by the Academy. Questions or disputes about admission, removal, roles, teaching, fees charged outside EduPortal or access to Academy content must normally be raised with that Academy.

You must not share an account, impersonate another person, create an account using another person’s details without authority, or attempt to access an Academy, class or file for which you have not been authorised.

You may delete your account from User Settings after confirming the single-use code sent to your email. An Admin account cannot use self-service deletion. If you own an active Academy, you must delete that Academy before deleting your account. Account deletion is permanent and the deleted account cannot be reactivated.

6. Freemium and paid plans

EduPortal offers a free Freemium plan with limited features, usage allowances and storage. Freemium is not a time-limited free trial. We may revise reasonable Freemium limits or features as the service develops, but we will not charge an Owner unless the Owner actively selects a paid plan and completes the payment process.

Paid plans may be offered monthly or yearly and may include limits for active users, classes, campuses, storage or other features. The plan, billing interval, currency, total amount due and applicable limits are shown before payment. Course prices entered by an Academy are informational only and are not payments collected by EduPortal.

A paid subscription begins when payment is accepted and we confirm activation. It renews automatically for the selected billing interval until the Owner schedules cancellation. The Business Customer authorises our payment provider to charge the saved payment method for each renewal and any approved immediate plan change.

The Business Customer must keep billing information current. Failed or reversed payments may cause a subscription to become past due, unpaid, paused or cancelled and may limit access to paid features.

7. Plan changes, account credit and refunds

An upgrade, downgrade, storage change or change between monthly and yearly billing may take effect immediately. Before confirmation, EduPortal will show the available price calculation. The payment provider may charge a prorated amount or create account credit for unused paid value.

Unused account credit is normally applied to future invoices. If a downgrade leaves unused paid credit, the Owner may request payment of the eligible unused balance by contacting [email protected]. Refunds are not automatic. We will review the payment history, use of the credit, payment-provider rules and applicable law. Where a refund is legally required or the request is approved, we will process it without undue delay using a lawful and reasonably practical method. Bank and payment-provider processing times are outside our control.

Cancelling a subscription does not by itself create a refund for the current billing period. We do not refund value that has already been used, applied to another invoice, lawfully withheld, reversed through a chargeback or obtained through fraud. Any mandatory rights under applicable law remain unaffected.

8. Cancellation and what happens to stored files

The Owner may schedule cancellation at any time. For a normal Owner-initiated cancellation, the paid plan and its features remain available until the end of the current paid billing period, and no further renewal is taken unless the cancellation is reversed before that date.

After a normal paid subscription ends, uploaded videos, course files, class materials, assignment files, submissions and other storage-based Academy files are retained for 15 days. After that period, deletion begins and may take up to 48 hours to complete. Deleted files cannot be recovered. The Academy is responsible for downloading any files it must keep before the retention period expires.

Where a subscription ends because of non-payment, chargeback, fraud, security risk, payment-provider action or legal requirement, access restrictions or file cleanup may begin sooner where reasonably necessary.

Ending a subscription does not automatically delete the Academy, user accounts or non-file business records. An authorised user may use the available deletion controls or contact support to request deletion. Account deletion and Academy deletion are separate actions and follow section 15 and our Privacy Notice.

9. Academy content and uploaded work

As between CodeChest Ltd and the Academy, the Academy controls and retains all rights it has in content uploaded to its Academy, including course descriptions, videos, class materials, assignments, submissions, images and other files. CodeChest Ltd does not claim ownership of Academy content.

The Academy and each uploader give us a limited, non-exclusive licence to host, copy, process, transmit, display and back up that content only as needed to operate, secure, support and maintain EduPortal and provide it to authorised users. This licence ends when the content is deleted, subject to temporary technical copies and legal retention duties.

We do not use Academy content for advertising or to train artificial-intelligence models. The Academy is responsible for ensuring that it and its users have the rights and permissions needed to upload and use the content, including arrangements concerning student work and third-party materials.

10. Courses and the education relationship

Any course price, payment interval, description or other commercial information entered by an Academy is provided for Academy-management and information purposes only. EduPortal does not offer, sell or collect payment for those courses and is not a party to any agreement between an Academy and a student, parent, teacher or other person.

Each Academy is solely responsible for its courses, instructors, enrolment decisions, external fees and refunds, teaching quality, attendance decisions, grades, certificates, regulatory approvals, safeguarding and communications with students and parents.

EduPortal records and displays information entered by authorised Academy users. We do not independently verify the accuracy or fairness of course content, attendance, grades, instructor statements or Academy decisions.

11. Acceptable use and safety

You may use EduPortal only for lawful education-management purposes and in accordance with your role. You must respect other users, intellectual-property rights, privacy, confidentiality, child-safety requirements and academic-integrity rules set by the relevant Academy.

We may investigate suspected misuse and may preserve or disclose relevant information where legally required.

  • Do not upload or share unlawful, fraudulent, threatening, abusive, hateful, sexually exploitative, defamatory or privacy-infringing material.
  • Do not upload malware, attempt unauthorised access, bypass security or usage limits, disrupt the service, scrape it at scale or reverse engineer it except where law expressly permits.
  • Do not harm, exploit, groom or improperly contact a child, and do not upload child sexual abuse material under any circumstances.
  • Do not cheat, falsify attendance or grades, impersonate another person, submit another person’s work as your own, or misuse confidential educational records.
  • Do not use EduPortal to infringe copyright, trade marks or other rights, or upload content you are not authorised to use.

12. EduPortal intellectual property

CodeChest Ltd and its licensors own EduPortal’s software, source code, design, interface, databases, branding, documentation and platform-created materials. These Terms give you a limited, revocable, non-exclusive and non-transferable right to use the service for its intended purpose while your account and permitted access remain active.

You may not copy, sell, sublicense, publicly reproduce or create a competing service from our platform or materials unless we give written permission or applicable law expressly allows it. Academy content is excluded from our ownership as described in section 9.

13. Third-party services

EduPortal may integrate with or depend on third-party services such as Stripe for payments, cloud storage and hosting providers, email providers, Google Meet and Zoom. Use of a connected third-party account may also be subject to that provider’s terms and privacy information.

We are responsible for choosing and operating our providers with reasonable care, but we do not control third-party networks, accounts or services. An Academy is responsible for obtaining permission before connecting an organisation’s Google or Zoom account and for complying with the connected provider’s requirements.

14. Availability, maintenance and support

We will provide EduPortal with reasonable care and skill. The service may occasionally be unavailable for maintenance, updates, security work, internet failures or events beyond our reasonable control. Unless a separate written enterprise agreement says otherwise, we do not promise uninterrupted availability or a specific service level.

We may improve, replace or discontinue features where reasonably necessary. If a material change significantly reduces a paid service, we will take reasonable steps to notify the affected Owner and provide an appropriate option, which may include continued access until period end, account credit, a refund required by law or the ability to cancel.

If a legal right or valid account action is not yet available through an automated control, the authorised user may contact [email protected]. We will assess the request and provide a lawful, practical solution that protects the user’s rights.

15. Suspension, termination and account deletion

We may restrict or suspend access where reasonably necessary to address non-payment, a security threat, suspected fraud, unlawful content, serious or repeated breach of these Terms, harm to another person, or a legal or payment-provider requirement. Where appropriate, we will explain the reason and allow a reasonable opportunity to correct the issue.

We may terminate access immediately for serious grounds, including child exploitation, deliberate security attacks, fraud, repeated infringement or conduct creating a material risk to users or the platform. A minor breach will not normally result in permanent termination without warning where it can reasonably be corrected.

A user may delete their account from the Security section of User Settings after entering the six-digit, single-use code sent to the account email address. Admin accounts cannot use this control. Before deletion, the user must leave every Academy they have joined and reject any pending Academy invitations. An Owner must delete or, where the service permits, transfer every active Academy they own before deleting their account. Confirmed deletion permanently disables sign-in and deletes or anonymises the personal account profile, authentication and security information, sessions, connected-service tokens, support records and account avatar as described in our Privacy Notice. A limited inactive record may remain under the same internal identifier to preserve system and historical-record integrity. Account deletion cannot be undone.

Account deletion does not automatically delete the separate Academy membership profile or Academy-managed attendance, assignment, exam, submission, grade, evaluation and historical statistical records. Those records may remain under the Academy’s control while it has a valid lawful basis and retention need. The user should first contact the Academy to request correction or deletion and may contact [email protected] if the Academy cannot be reached or the user believes a valid request has been unlawfully refused.

An authorised Owner may delete an Academy after entering the six-digit, single-use code sent to their email. Deletion may be blocked until active paid entitlement has ended, unused account credit has been resolved and any inconsistent billing or storage-cleanup state has been corrected. Academy access is removed immediately after successful deletion, its related records are marked as deleted and related files enter the storage-deletion process. The inaccessible Academy database records are retained for one year and then permanently deleted by a scheduled daily cleanup, normally at the first run after the one-year anniversary. Academy deletion cannot be undone.

Deletion from EduPortal does not delete records that an Academy separately holds outside EduPortal. Limited payment, accounting, security, consent, fraud-prevention, complaint and dispute records may be retained for longer where law requires or permits it. The requester is responsible for having authority and for retaining any information they are legally required to keep.

16. Privacy and records

Our Privacy Notice explains how CodeChest Ltd handles account, device, security, billing and usage information. Each Academy is responsible for explaining its own use of member, attendance, assignment, exam, grade and course information and for having an appropriate legal basis for inviting users and managing their educational records.

While an Academy invitation is pending, the Academy receives the invited email address, invitation status and intended roles, but no separate Academy membership profile is created. When the user accepts the invitation, EduPortal creates an Academy-specific membership profile containing the first name, last name, date of birth, gender choice, phone number, email address and address formed from the optional city and country then held in the account profile. Authorised Academy personnel may also see the current account profile image and, where it differs from the snapshot, the current phone number. The invitation acceptance screen gives the user a short notice before this transfer. The Academy may use these details only for lawful Academy membership, identity and contact management, attendance, assignments, exams, evaluation, reporting and academic-record purposes.

When an account is deleted, EduPortal removes or anonymises the personal account information described in section 15 and the Privacy Notice. The separate Academy membership profile and Academy-managed academic history are not automatically deleted and may be retained while the Academy has a valid lawful basis and retention need. The Academy remains responsible for responding to requests concerning those records, whether they are held in EduPortal or in the Academy’s own systems.

We may keep limited transaction, consent, security, fraud-prevention, complaint and dispute records for the periods reasonably required or permitted by law. Requests to access, correct, export or delete personal information may be made through available account controls or [email protected].

17. Responsibility, liability and business indemnity

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded. Nothing in these Terms removes any mandatory legal right.

Subject to the previous paragraph, CodeChest Ltd is not responsible for an Academy’s content, teaching, enrolment, external payments, safeguarding decisions, grades or disputes, or for losses caused by unauthorised use of an account, a third-party service, inaccurate information supplied by a user, or an event beyond our reasonable control.

To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, revenue, opportunity, goodwill or anticipated savings. Our total aggregate liability arising from EduPortal during any 12-month period is limited to the greater of £100 and the fees paid or payable by the relevant Business Customer to CodeChest Ltd during the 12 months before the event giving rise to the claim.

The Business Customer will reimburse CodeChest Ltd for reasonable losses, claims and legal costs arising from unlawful Academy content, the Business Customer’s breach of these Terms or its infringement of another person’s rights, except to the extent the claim was caused by CodeChest Ltd. We will give reasonable notice of a claim and allow the Business Customer to participate in its defence.

18. Changes, governing law and general terms

We may update these Terms for legal, security, technical or business reasons. We will publish the new date and give reasonable notice of material changes by email, in-app notice or another appropriate method. Material changes will not apply retrospectively. Continued use after the effective date means acceptance of the updated Terms; if you do not agree, you may stop using the service and cancel any renewing plan.

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes with Business Customers. End Users may also have mandatory rights or the right to bring a claim in their country of residence where applicable law requires it.

The English version is the primary version. The Azerbaijani version is provided for accessibility and will be interpreted to preserve the same meaning, subject to any mandatory local-language rule. If part of these Terms is unenforceable, the remaining parts continue. A delay in enforcing a right is not a waiver. No third party may enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

You may not transfer your agreement or account without our permission. We may transfer these Terms as part of a reorganisation, financing or sale of the business if doing so does not materially reduce your rights.
